1. Introduction and Acceptance

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and HawtAds Inc. ("HawtAds," "we," "us," or "our"), a corporation registered in the Province of Ontario, Canada, with its principal office at 350 Bay St, Unit 1300B, Toronto, ON M5H 2S6.

By accessing or using our website at https://hawtads.com (the "Website") and any related services, applications, or platforms (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately discontinue use of the Service.

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Service following any changes constitutes acceptance of the revised Terms.

2. Eligibility

2.1 Age Requirement

You must be at least eighteen (18) years of age to access or use the Service. By creating an account or using the Service, you represent and warrant that you are at least 18 years old. We reserve the right to verify your age and identity through our third-party identity verification provider.

You represent and warrant that you have the legal capacity and authority to enter into these Terms. If you are using the Service on behalf of a business, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2.3 Compliance with Local Laws

You are solely responsible for ensuring that your use of the Service, including the creation, download, distribution, and publication of any content generated through the Service, complies with all applicable local, provincial, state, national, and international laws and regulations in your jurisdiction. HawtAds makes no representation that the Service or any content generated through it is appropriate or lawful in any particular jurisdiction.

3. Description of Service

3.1 Overview

HawtAds provides an AI-powered platform that enables advertisers in regulated industries — including but not limited to cannabis, iGaming, casino, cryptocurrency, gambling, and adult entertainment — to create advertising creatives ("Generated Content"). The Service utilizes third-party artificial intelligence technologies to generate advertising materials based on user inputs and prompts.

3.2 Service Model

The Service is offered on a Software-as-a-Service (SaaS) subscription basis and/or a credit-based usage model, as further described on our pricing page. Users may subscribe to a recurring plan or purchase credits to generate advertising creatives on a per-use basis.

3.3 User-Uploaded Assets

Users may upload their own assets, including but not limited to logos, images, brand kits, and other materials ("User Assets"), to be incorporated into Generated Content. You retain full ownership of your User Assets and are solely responsible for ensuring you have all necessary rights, licenses, and permissions to use them.

3.4 Content Download

Generated Content is made available for download through the Service. You are responsible for uploading and distributing Generated Content to the demand-side platform (DSP) or advertising network of your choice. HawtAds does not guarantee that any Generated Content will be accepted, approved, or compliant with the policies of any third-party DSP or advertising platform.

4. Account Registration and Security

4.1 Account Creation

To use the Service, you must create an account by providing your name and email address. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

4.2 Identity Verification

We may require identity verification ("Know Your Customer" or "KYC") through our third-party verification provider, Stripe, before granting full access to the Service. You agree to cooperate with any verification requests and understand that failure to complete verification may result in restricted access or account termination.

4.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at legal@hawtads.com if you suspect any unauthorized use of your account.

4.4 One Account Per User

Each User may maintain only one account unless otherwise authorized by HawtAds in writing. We reserve the right to terminate duplicate accounts without notice.

5. Intellectual Property

5.1 Ownership of Generated Content

Subject to these Terms and full payment of applicable fees, you own all rights, title, and interest in the Generated Content created through your use of the Service. HawtAds does not claim any ownership rights over your Generated Content.

5.2 Responsibility for Generated Content

Notwithstanding your ownership rights, you are solely and entirely responsible for all Generated Content, including but not limited to its legality, accuracy, appropriateness, regulatory compliance, and any consequences arising from its use, publication, or distribution.

5.3 License to HawtAds

You grant HawtAds a limited, non-exclusive, royalty-free, worldwide license to store, process, display (to you within the Service), and technically manipulate your User Assets and Generated Content solely for the purpose of providing and improving the Service.

5.4 HawtAds Intellectual Property

All rights, title, and interest in the Service itself — including but not limited to the Website, platform, software, algorithms, user interface, design, trademarks, logos, and documentation — remain the exclusive property of HawtAds Inc. Nothing in these Terms grants you any right to use HawtAds' trademarks, branding, or proprietary technology except as necessary to use the Service as intended.

5.5 Feedback

Any feedback, suggestions, or ideas you provide regarding the Service may be used by HawtAds without obligation or compensation to you.

6. Payments, Subscriptions, and Credits

6.1 Payment Processing

All payments are processed through our third-party payment processor, Stripe. By making a payment, you agree to Stripe's terms of service and privacy policy in addition to these Terms. HawtAds does not directly store your full payment card information.

6.2 Subscription Plans

If you subscribe to a recurring plan, you authorize HawtAds to charge your payment method on a recurring basis at the interval specified (monthly, annually, or as otherwise indicated) until you cancel your subscription.

6.3 Credits

Credits purchased are non-transferable and may only be used within your account. Credits have no cash value and cannot be redeemed for cash. Unused credits will expire in accordance with the terms specified at the time of purchase on our pricing page.

6.4 Pricing Changes

HawtAds reserves the right to change pricing at any time. For active subscribers, pricing changes will take effect at the beginning of the next billing cycle following thirty (30) days' notice.

6.5 Taxes

All fees are exclusive of applicable taxes. You are responsible for all applicable sales taxes, VAT, GST/HST, or other governmental charges associated with your use of the Service.

7. Refund and Cancellation Policy

7.1 Subscription Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at legal@hawtads.com. Upon cancellation:

  • Your subscription will remain active until the end of the current billing period.
  • You will not be charged for subsequent billing periods.
  • No prorated refunds will be issued for the remaining portion of the current billing period.

7.2 Credit Refunds

Purchased credits are non-refundable once the purchase is complete, except where required by applicable law.

7.3 Refund Requests

Refund requests for subscription fees may be considered on a case-by-case basis if submitted within fourteen (14) days of the charge date and if no Generated Content has been created during that billing period. To request a refund, contact legal@hawtads.com.

7.4 Chargebacks

If you initiate a chargeback or payment dispute without first contacting us, we reserve the right to suspend or terminate your account immediately.

8. Acceptable Use Policy

8.1 Permitted Use

The Service is intended for the creation of advertising creatives for lawful commercial purposes. You agree to use the Service only for its intended purpose and in compliance with these Terms and all applicable laws.

8.2 Prohibited Content

You shall not use the Service to create, generate, or distribute content that:

  1. Depicts, promotes, or facilitates the sexual exploitation of minors or any content involving individuals under the age of 18;
  2. Constitutes or facilitates the creation of deepfakes or non-consensual synthetic media depicting real individuals;
  3. Promotes or facilitates terrorism, violent extremism, or incitement to violence;
  4. Constitutes fraud, phishing, scams, or deceptive practices;
  5. Infringes upon any third party's intellectual property rights, including copyrights, trademarks, or rights of publicity;
  6. Violates any applicable law, regulation, or legal obligation in any jurisdiction;
  7. Promotes or facilitates human trafficking, forced labor, or modern slavery;
  8. Contains or distributes malware, viruses, or any harmful code;
  9. Harasses, threatens, defames, or discriminates against any individual or group; or
  10. Is otherwise illegal under Canadian federal or provincial law, or the laws of the jurisdiction in which you operate.

8.3 Content Moderation

HawtAds employs automated content moderation systems to detect and prevent the creation of prohibited content. In cases where automated systems flag content for review, human moderators may review the content and take action, including but not limited to removing content, suspending accounts, or reporting activity to law enforcement.

8.4 Reporting Violations

If you become aware of any content generated through the Service that violates these Terms, please report it immediately to legal@hawtads.com.

9. Data Storage and Retention

9.1 Storage of Generated Content

Generated Content and User Assets are stored on our servers for a period of one (1) year from the date of creation or upload. After this period, content may be permanently deleted without notice.

9.2 User Responsibility

You are solely responsible for downloading and maintaining your own copies of Generated Content and User Assets. HawtAds is not responsible for any loss of content after the retention period or due to account termination.

9.3 Deletion Requests

You may request early deletion of your content at any time by contacting legal@hawtads.com. We will process deletion requests within thirty (30) days.

10. Indemnification

10.1 User Indemnification

You agree to indemnify, defend, and hold harmless HawtAds Inc., its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, actions, liabilities, damages, losses, judgments, settlements, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or related to:

  1. Your use of the Service;
  2. Any Generated Content you create, download, publish, distribute, or otherwise use;
  3. Your User Assets;
  4. Any violation of these Terms by you;
  5. Any violation of applicable laws, regulations, or third-party rights by you or through your use of the Service;
  6. Any claim that your Generated Content or User Assets infringe upon or violate the rights of any third party;
  7. Any regulatory action, fine, penalty, or legal proceeding arising from your advertising activities using Generated Content; or
  8. Any misrepresentation made by you under these Terms.

10.2 Scope of Indemnification

This indemnification obligation applies regardless of the jurisdiction in which any claim arises and survives the termination of your account and these Terms. You acknowledge that HawtAds provides tools for content creation but does not endorse, approve, review for legal compliance, or assume any responsibility for the Generated Content or its use in any advertising context.

11. Limitation of Liability

11.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. HAWTADS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

HAWTADS DOES NOT WARRANT THAT:

  1. THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
  2. THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
  3. ANY GENERATED CONTENT WILL BE ACCURATE, SUITABLE, LEGAL, OR COMPLIANT WITH ANY ADVERTISING STANDARD, REGULATION, OR PLATFORM POLICY;
  4. ANY GENERATED CONTENT WILL BE ACCEPTED BY ANY DSP, ADVERTISING NETWORK, OR PLATFORM; OR
  5. ANY DEFECTS IN THE SERVICE WILL BE CORRECTED.

11.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HAWTADS INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

  1. ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
  2. ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL;
  3. ANY DAMAGES RESULTING FROM THE USE OR INABILITY TO USE THE SERVICE;
  4. ANY DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR CONTENT OR DATA; OR
  5. ANY DAMAGES ARISING FROM YOUR USE OF GENERATED CONTENT IN ANY ADVERTISING CAMPAIGN OR PUBLICATION.

11.3 Cap on Liability

IN ANY EVENT, HAWTADS' TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO HAWTADS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting legal@hawtads.com or through your account settings.

12.2 Termination by HawtAds

We may suspend or terminate your account immediately, without prior notice, if:

  1. You breach any provision of these Terms;
  2. You fail to complete required identity verification;
  3. We are required to do so by law or legal process;
  4. We reasonably believe your use of the Service poses a risk to HawtAds, other users, or third parties;
  5. Your account has been inactive for more than twelve (12) consecutive months; or
  6. We discontinue the Service or any material portion thereof.

12.3 Effect of Termination

Upon termination:

  • Your right to access and use the Service will immediately cease;
  • Any unused credits will be forfeited and are non-refundable;
  • We may delete your Generated Content and User Assets in accordance with our data retention policies;
  • Sections 5, 10, 11, 13, 14, and 15 of these Terms shall survive termination.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

13.2 Jurisdiction

You irrevocably submit to the exclusive jurisdiction of the courts of the Province of Ontario, located in the City of Toronto, for the resolution of any disputes arising out of or relating to these Terms or the Service.

13.3 Waiver of Jury Trial

To the extent permitted by applicable law, you waive any right to a jury trial in connection with any action or litigation arising out of or related to these Terms.

14. General Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and HawtAds with respect to the Service and supersede all prior or contemporaneous agreements, representations, or understandings.

14.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. HawtAds' failure to enforce any right or provision shall not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of HawtAds. HawtAds may assign these Terms without restriction.

14.5 Force Majeure

HawtAds shall not be liable for any failure or delay in performing its obligations due to causes beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemic, government action, power failure, internet disruption, or third-party service outages.

14.6 Language

These Terms are drafted in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
